License

Purchases grant a limited, non-transferable, non-exclusive license for your own personal or internal business use.

Ownership is not transferred.

No Guarantee of Results

SmartClose.AI does not guarantee:

• Leads
• Appointments
• Listings
• Transactions
• Revenue
• Profit
• Business growth
• Marketing performance
• Conversion rates

Any examples, demonstrations, testimonials, projections, or case studies are illustrative only.

Results depend on factors beyond our control, including implementation, lead quality, database quality, response rates, market conditions, pricing, competition, follow-up, and client participation.

Database Reactivation Services

For database reactivation, AI implementation, consulting, setup, automation, marketing, and other custom services:

• No specific outcome is guaranteed.
• Client is responsible for the quality and legality of their database.
• Client is responsible for compliance with applicable communication laws and regulations.
• SmartClose.AI is not responsible for inaccurate, outdated, or unresponsive contact lists.

Refund Policy

Custom Services

Due to the custom nature of consulting, implementation, AI setup, database reactivation campaigns, automation services, and other personalized services, all service fees are non-refundable once work has commenced.

All sales for custom services are final.

Digital Products

Any refund rights applicable to digital products will be governed solely by the refund policy stated on the applicable sales page at the time of purchase.

Chargebacks

Customers agree to contact SmartClose.AI to resolve any concerns before initiating a chargeback or payment dispute.

Fraudulent or abusive chargebacks may result in immediate termination of access to services and products.

Limitation of Liability

To the maximum extent permitted by law, SmartClose.AI and Future Proof Agent Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Total liability shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless SmartClose.AI, Future Proof Agent Inc., its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from your use of our products or services.

Third-Party Services

Our services may utilize third-party platforms and providers, including:

• OpenAI
• Google
• Meta
• Stripe
• CRM providers
• Automation platforms

We are not responsible for outages, errors, changes, or actions taken by third-party providers.

Termination

We reserve the right to suspend or terminate access to any product, service, community, or platform if these Terms are violated.

Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
